Franchise Offering Circular

There are two types of franchises offered by Decor & You, Inc. (the "Franchisor"). The first is for the operation of a unit franchisee for the sale and marketing to residential and commercial customers principally through the use of the Franchisee's Decor Vehicle, products and services such as draperies, fabric, furniture, drapery hardware, interior decorating services, installation services, decorative shades, wallpaper, carpet, and all other related home and office furnishings, merchandise, services and labor, all trading under the DECOR & YOU® name. The initial franchise fee ranges from $17,000 for one unit to $35,000 for up to four units, and thus depends upon the number of unit franchises the franchisee elects to operate. You must pay us $2,500 for a start-up support package at the time you are awarded your franchise. The estimated initial investment required for a single unit franchise ranges from $47,450 to $75,850 including the initial franchise fee and working capital for the first six months of operation. The initial investment will increase by the additional initial franchise fee if franchisee elects to operate more than one unit.
The second franchise is a regional development business that recruits unit franchisees and provides them with ongoing support services (the "Regional Franchise"). The initial franchisee fee varies with the population of the Regional Director Franchisee's Territory. The initial Regional Franchise fee ranges from $75,000 to over $225,000, based upon a minimum population of 260,000 target homes to more than 780,000 target homes in the region, calculated at 28.850 per target home, with a target home being defined as a household with an annual income of $50,000 or above. The estimated initial investment required for a one territory Regional Director Franchise is $132,150 to $146,700, including the initial franchise fee and working capital for the first six months of operation.

1. THE FRANCHISE AGREEMENT REQUIRES YOU TO SUE ONLY IN CONNECTICUT, WHICH MAY FORCE YOU TO ACCEPT A LESS FAVORABLE SETTLEMENT FOR DISPUTES. IT MAY ALSO COST MORE TO SUE IN CONNECTICUT THAN IN YOUR HOME STATE. ILLINOIS, AS A CONDITION OF REGISTRATION, REQUIRES HOWEVER THAT ILLINOIS BE THE FORUM FOR LITIGATION UNDER THE AGREEMENTS.
2. THE FRANCHISE AGREEMENT STATES THAT CONNECTICUT LAW GOVERNS THE AGREEMENT AND THIS LAW MAY NOT PROVIDE THE SAME PROTECTIONS AND BENEFITS AS YOUR LOCAL LAW. YOU MAY WANT TO COMPARE THESE LAWS. ILLINOIS REQUIRES, AS A CONDITION OF REGISTRATION, THAT ILLINOIS LAW GOVERN THE AGREEMENTS.
3. THERE MAY BE OTHER RISKS CONCERNING THIS FRANCHISE.
